Private Equity and Joint Ventures

Litigation, Arbitration and Negotiations

We negotiate and draft investment agreements, share purchase, shareholder and share subscription agreements. We also conduct legal due diligence and advice on investment strategies best suited for the client.

General Corporate Practice

We advise on all aspects of corporate law including incorporation of corporate entities, seed and venture funding, debt and equity funding and strategic alliances, factoring etc. We have extensive experience in drafting and negotiating commercial agreements such as equipment purchase and supply contracts, distribution / franchise arrangements, master services agreements, consultancy/employment agreements etc. We also have worked on sector specific commercial contracts in sectors such as, e-commerce, media and advertising, information technology, intellectual property, and other knowledge based services, pharmaceuticals, leisure and hospitality etc.

Litigation, Arbitration and Negotiations

We represent clients before courts, tribunals and forums in relation to arbitration, oppression and mismanagement, mergers and demergers, amalgamations and arrangements, reduction of share capital, debt recovery matters, insolvency resolution, winding up, intellectual property disputes, and all areas of corporate litigation, public law, contractual disputes, consumer protection disputes, employment and labour disputes, dishonor of cheques, white collar crimes. We undertake arbitration arising out of contractual disputes before arbitral tribunals.

Real Estate

We conduct detailed legal due diligence and title investigations and issue title opinions for residential and commercial properties, industrial plots, and advise on real estate projects. We also undertake drafting of sale deeds, lease deeds, development agreements, etc. We represent clients before courts in relation to land and revenue matters and other real estate disputes.
